GIGRITHM TERMS AND CONDITIONS

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Gigrithm platform ("Platform") as a Professional.

By creating an account or using the Platform, you agree to be bound by these Terms.

2. Nature of the Platform

Gigrithm is a digital marketplace that connects companies with independent professionals.

  1. Gigrithm is not a party to contracts between Professionals and Companies
  2. Gigrithm does not guarantee the availability of opportunities or engagements
  3. Each engagement forms a separate contract between you and the Company

3. Eligibility

To use the Platform, you must:

  1. Be at least 18 years old
  2. Have the legal capacity to enter into binding contracts
  3. Provide accurate and complete registration information

4. Account Registration & Security

You agree to:

  1. Provide true, accurate, and up-to-date information
  2. Maintain the confidentiality of your login credentials
  3. Be responsible for all activity under your account

Gigrithm reserves the right to verify your identity and credentials. Gigrithm shall not be liable for any false or erroneous fact or data provided.

5. Professional Profile

5.1 You are responsible for:

  1. The accuracy of your qualifications, experience, and portfolio
  2. Ensuring that all information provided is truthful and not misleading

5.2 The professional notes that misrepresentation may result in suspension or termination of the account with the Gigrithm, and such misrepresentation does not make Gigrithm liable to any party in any manner.

6. Matching & Invitations

  1. You may be matched with opportunities based on your profile
  2. Companies may invite you to participate in projects, gigs, or challenges
  3. You may, at your discretion, accept or decline any opportunity presented on the Platform; provided that any such decision shall be final and irrevocable and may not be withdrawn, reversed, or otherwise undone.
  4. Acceptance of an engagement creates a binding obligation between you and the Company.
  5. Gigrithm shall not be liable for any breach or failure of performance flowing from a binding agreement between you and the company.

7. Performance of Services

7.1 Upon accepting an engagement, you agree to:

  1. Perform services in accordance with the agreed scope, goals and expectations.
  2. Meet all deadlines and milestones
  3. Maintain professional standards of quality and conduct
  4. Communicate promptly with the Company

7.2 You also agree and note that failure to perform may affect payments and your platform standing.

8. Payments

8.1 Payment Structure

  1. Projects are funded upfront by Companies
  2. Payments are released upon completion and approval of deliverables

8.2 Fees

Gigrithm may deduct applicable service fees before disbursing payments.

8.3 Payment Conditions

Payments are subject to:

  1. Successful completion of work
  2. Company approval (or deemed approval where applicable)
  3. Resolution of any disputes

8.4 No Circumvention

  1. You agree not to bypass the Platform to receive payments directly from Companies.
  2. Gigrithm shall not be liable for any conduct, communication, agreement, or transaction between you and the Companies that occur outside the Gigrithm platform. Any interactions or engagements undertaken outside the Platform are at the sole risk of the parties involved, and the Platform disclaims all responsibility and liability arising therefrom.

9. Disputes with Companies

  1. Disputes must first be submitted through the Platform
  2. Gigrithm may facilitate mediation but is not obligated to resolve disputes
  3. Payments may be held pending resolution

10. Independent Contractor Status

You are an independent contractor and:

  1. Not an employee, partner, or agent of Gigrithm or any Company
  2. You are responsible for your own taxes, insurance, and statutory obligations

11. Intellectual Property

11.1 Ownership Transfer

Upon full payment, intellectual property in deliverables inures to the Company.

11.2 Portfolio Rights

You may retain the right to display work in your portfolio, unless otherwise agreed.

12. Confidentiality

You agree to:

  1. Keep all non-public information obtained through engagements confidential
  2. Use such information solely for the purpose of performing services
  3. Be liable for the unauthorized disclosure of confidential information

13. Prohibited Conduct

You shall not:

  1. Misrepresent your qualifications or identity
  2. Submit plagiarized or unlawful content
  3. Circumvent platform processes or fees
  4. Harass, troll, abuse, defraud, or misuse the platform
  5. Upload harmful or malicious content

14. Suspension & Termination

Gigrithm may suspend or terminate your account if you:

  1. Breach these Terms
  2. Engage in fraudulent or illegal activity
  3. Violate platform policies

You may also terminate your account at any time, subject to completion of ongoing obligations.

15. Limitation of Liability

To the fullest extent permitted by law:

  1. Gigrithm is not liable for actions or omissions of Companies
  2. Gigrithm does not guarantee payment in disputed or incomplete engagements

16. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

We do not guarantee:

  1. Continuous or error-free operation
  2. Availability of opportunities
  3. Suitability of Companies or engagements

17. Indemnity

You agree to indemnify and hold Gigrithm harmless from any claims, damages, or liabilities arising from:

  1. Your use of the Platform
  2. Your services or deliverables
  3. Your breach of these Terms

18. Platform Availability

We do not guarantee uninterrupted access to the Platform and are not liable for downtime or technical issues.

19. Governing Law & Dispute Resolution

  1. These Terms shall be governed by the laws of the Federal Republic of Nigeria.
  2. In the event of any dispute, such disputes shall be resolved in the following steps:
    1. Parties shall attempt good-faith negotiation
    2. Where good faith negotiation in 19 (b) (i) fails, parties shall attempt mediation
    3. Where all of the above options fail, the dispute shall be determined by a court of competent jurisdiction in Nigeria.

20. Amendments

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of any updates.
